Initial Coin Offerings (ICOs) have been a non-traditional method of funding that has played a significant role in the growth of the Web3 ecosystem. In this class, we will explore ICOs, how they work, and discuss some case studies that illustrate their success in the world of decentralized startups.
ICOs are a form of financing in which startups, which can range from a blockchain to a decentralized app or an NFT marketplace, issue their own tokens and offer them to investors, whether individuals or legal entities, in exchange for funds. These offerings are based on blockchain technology and are often highly speculative due to the tokenization of assets.
ICOs offer notable advantages, such as access to fast funding and early liquidity for project developers. In addition, access to investors is global, meaning that virtually any investor from any jurisdiction can participate in the project.
However, ICOs also present limitations and risks. Speculation around ICOs can be risky, and lack of proper regulation can lead to scams and fraud. In addition, in most countries, ICOs are not regulated, making legal action in case of crime or fraud difficult.
Some jurisdictions take a restrictive approach to ICOs. In countries such as Mexico, Argentina, Colombia and even the United States, regulations have evolved to address ICOs. In the United States, the SEC (Securities and Exchange Commission) considers that many ICOs can be classified as securities offerings, which requires registration and carries penalties for non-compliance.
ICOs have been a widely used funding tool in the Web3 ecosystem. While they have benefits such as fast and liquid funding, investors must conduct a due diligence analysis before investing.
